Tavares Tax Case Tests Signing Bonuses

John Tavares’s dispute with the CRA puts a US$15.25 million signing bonus at the centre of a broader cross-border tax question: when a professional athlete moves from the U.S. to Canada, which country has the primary right to tax an upfront payment?

The Tax Treatment in Dispute

The CRA reassessed Tavares in 2022, asserting approximately C$6.85 million of additional tax plus C$1.2 million of interest. The dispute turns on whether the payment qualifies as a signing bonus eligible for preferential treatment under the Canada-U.S. Tax Treaty or should instead be treated as employment income taxable at Canadian rates.

Why the Case Matters

Signing bonuses are not unique to Tavares’s contract. Canadian NHL teams have used substantial upfront payments when competing for players based in lower-tax U.S. jurisdictions. A decision restricting treaty treatment could materially change the after-tax economics of Canadian player contracts and how teams structure future compensation packages.

Residence Adds Another Layer

MLSE withheld 15% of the bonus, while Tavares was still considered a “United States Person” under U.S. tax law when he signed the contract. The litigation therefore extends beyond payment terminology to the interaction between residency, timing and treaty allocation of taxing rights.

Shopify Challenges CRA’s Renewed Data Request

Shopify is asking the Federal Court to pause the CRA’s latest attempt to obtain merchant information, arguing that substantially the same dispute is already headed to the Federal Court of Appeal. The case raises questions about the scope of CRA information-gathering powers and the obligations imposed on digital platforms holding large volumes of merchant data.

A Second CRA Application

The CRA’s original request sought six years of merchant data, including personal, contact and financial information, to verify tax compliance. A Federal Court judge dismissed that application in May as overly broad. The CRA appealed, with the appeal scheduled for December 2026.

Why the CRA Filed Again

The CRA says the new unnamed persons requirement (UPR) targets a different timeframe, including the beginning of 2020 when Canadian e-commerce expanded rapidly. It also seeks transaction information not covered by the previous preservation order.

Broader Compliance Impact

The outcome could influence how aggressively the CRA can use UPRs to obtain bulk taxpayer information from online platforms. It may also clarify when a new information request is sufficiently distinct to proceed while related litigation remains unresolved.
